Current Positions:
Credit Manager

Location: Palo Alto, CA/Boston, MA

 

Position Summary

The Credit Manager provides ongoing evaluation of portfolio quality, interacting with other team members, clients, and HTGC management regarding specific transactions and programs.  She/he is the point person on a portfolio of restructuring and workout transactions (both in and out of Bankruptcy) providing. leading the deal team regarding strategy and working with internal/external counsel regarding the terms and conditions of documentation of final agreements. The Credit Manager also works very closely with members of the Deal Teams on analysis, credit underwriting, structuring and negotiating terms and conditions of portfolio refinancings.  The Credit Manager provides ongoing management reporting regarding the status of portfolio companies. This position will also assist the Deal Teams in the due diligence process as needed to provide structuring and documentation expertise.   This position reports directly to the Senior Credit Officer but maintains responsibilities throughout the organization.

 

Essential Responsibilities

  • Perform financial statement analysis, credit analysis, exposure evaluation.
  • Identify structure, collateral and document requirements and decision reasoning.
  • Recommend appropriate documentation for each transaction, including documentation preparation and review along with Legal team.
  • Research documentation issues with Legal counsel with regards to the exceptions or amendments to commercial loans being booked.
  • Prepare credit write-ups and specialized documents (i.e. inter-creditor agreements).
  • Review standard financing documents and executed legal documents for accuracy.
  • Contribute analysis on transactions to credit committee
  • Ensure compliance with credit policies, collateral risk, pricing and documentation.
  • Develop credit information for use in evaluating new investment opportunities which include, but not limited to: review credit and financial information, including, financial statements, economic conditions, etc.
  • Prepare recommendations, coordinate credit and pricing analysis and provide guidance on credit requirement and credit decisions.
  • Assist in funding of transactions; input of information in various systems.
  • Ensure compliance with operational policies and procedures, legal regulations, tax and accounting conventions.
  • Provide information for quarterly portfolio assessment and review.
  • Work on special credit and risk management projects as they arise.
  • Participate in quarterly assessment meetings on the quality and status of loan portfolio.
  • Responsible for increased monitoring and involvement on Watch List accounts.
  • Work jointly with Deal Team on Watch List names to develop restructuring strategy and implementation of action items related to increased mitigation of risk, and confirm which actions require Credit approval.

 

Qualifications

  • Candidate qualifications to include such characteristics as ability to communicate effectively with senior level executives, peers, and subordinate staff, a problem solver, high energy, focused and disciplined approach, professional and of high integrity.
  • Candidate should have a history of working in a high intensity, dynamic environment with a capacity to meet deadlines under pressure.
  • 7+ years’ experience in asset based portfolio credit management, including but not limited to ongoing review, extensive work-out and bankruptcy experience.
  • Experience working with growth capital loans, LBO’s, asset based or cash flow based lending, recapitalizations and distressed debt.
  • Previous underwriting experience working with venture capital backed companies preferred but not required.
  • Knowledge of current regulatory/compliance issues, tax laws, accounting precepts, various specialized industry risks, and competitive trends.
  • Asset based portfolio credit management, including but not limited to ongoing review, work-out and bankruptcy experience relationship management experience preferred.
  • General and specific knowledge of collateral documentation required in lending as well as a general understanding of Uniform Commercial Code requirements (UCC) from a commercial lending perspective.

Managing Director, Technology

Location: Palo Alto, CA

 

We Seek To Hire:

A Managing Director who will play a critical role in the investment process at Hercules Capital, Inc. (HTGC). An individual in this role will source new deals, deliver written and oral analyses of investment opportunities, negotiate and structure investments, participate in the due diligence process, oversee a team of Vice Presidents, Associates, and Analysts during the preparation of diligence materials and financial models, while closely track industry trends. This position will report to the Chief Investment Officer.

 

Essential Responsibilities:

New Business Development Opportunities:

  • Establish/maintain relationships with venture capital, and private equity firms, as well as venture capital and private equity backed Life Science companies and other sources of business opportunities both in person and by telephone.
  • Identify potential new investment prospects, perform initial review of business opportunities and present viable opportunities to the Investment Committee for consideration.
  • Identify new Life Science sub-sector investment opportunities and supervise industry and competitive research performed by Principals, Associates, and Analysts.
  • Identify new potential financial product offerings to further expand the business.

 

Negotiating New Business:

  • Draft initial term sheets, expressions of interest or letters of intent.
  • Represent Hercules Capital and negotiate with prospective portfolio company management or venture capital investors, as well as other third parties to discuss and finalize a signed term sheet.

 

Due Diligence and Documentation:

  • Lead business due diligence and supervise Vice Presidents, Associates, and Analysts research through interviews with company management, financial sponsors, industry participants, and company customers/clients.
  • Oversee Vice Presidents, Associates, and Analysts perform valuation analysis using comparable company data, proprietary Hercules Capital financial models and, if applicable, DCF.
  • Serve as primary interface with management of prospective portfolio company.
  • Supervise construction of detailed financial models, including optimal capital structure, purchase price, adjustments and sensitivities to economic conditions.
  • Draft investment memorandum for initial and final Investment Committee review and approval while supervising Associates and Analysts in this process.
  • Review legal documents to ensure fidelity to deal terms under supervision of Chief Compliance Officer and Chief Financial Officer.

  • Experience in senior debt, asset-based financing, select equipment-based financing, subordinated or mezzanine debt and leveraged buyout firms.
  • Extensive contacts in the private equity, venture capital and/or financial intermediaries' communities.
